These Terms of Service ("Terms") form a binding agreement between you and UniHear LLC ("UniHear," "we," "us," or "our"). By accessing or using our websites, mobile applications, and related services (collectively, the "Services"), you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization.
1. Eligibility and accounts
You must be at least 13 years old and legally able to enter this agreement. If you have not reached the age of legal majority where you live, a parent, guardian, school, or other authorized organization must approve your use as permitted by law. The Services are not directed to children under 13.
You must provide accurate account information, protect your credentials, and promptly notify us of unauthorized use. You are responsible for activity under your account unless prohibited by law.
2. The Services
UniHear enables hosts to create spoken events and listeners to receive live translated audio, captions, transcripts, and AI-generated summaries. Features, supported languages, models, availability, and capacity may change. Preview or experimental AI services may be interrupted, delayed, or discontinued.
3. Host responsibilities
As a host or organizer, you are responsible for:
- having the rights and permissions needed to transmit and process event audio and content;
- notifying speakers and attendees that audio will be processed and transcripts may be saved;
- obtaining consent where recording, transcription, biometric, communications, or privacy laws require it;
- limiting event access and protecting event links and join codes where confidentiality matters;
- reviewing event content and asking us to delete it when it is no longer needed; and
- using the Services in compliance with applicable laws and your organization's policies.
4. AI output and translation accuracy
Translations, captions, transcripts, and summaries are generated using automated systems and may be incomplete, delayed, offensive, or inaccurate. Do not rely on the Services as the sole source for medical, legal, emergency, safety-critical, or other high-risk decisions. Use a qualified human interpreter when accuracy or legal compliance is critical. Hosts should tell attendees that translated content is AI generated.
5. Credits, pricing, and payment
UniHear uses credits. New-account promotional credits may expire. Purchased credits do not expire unless required by law or disclosed before purchase. Each participant uses 1 credit per started hour of translated participation after any applicable free preview. A host's base credit covers up to 3 target languages per started hour, and each additional target language costs 1 additional credit per started hour. Original untranslated audio may be offered without charge.
Event estimates are based on selected languages and planned duration. A started hour is billed as a full hour. When supported, unused prepaid whole-hour blocks are returned as credits after an event ends. Current prices and pack quantities are shown before purchase.
Web purchases are made through Paddle, our merchant of record and authorised reseller. When you buy credits on the web, your order is placed with Paddle, which collects payment, charges and remits applicable sales tax or VAT, issues your receipt, and processes refunds under Paddle's Checkout Buyer Terms. Prices are shown exclusive of tax; any applicable sales tax or VAT is calculated from your billing location and added at checkout. Mobile purchases may be processed by Apple, Google, and RevenueCat and are also subject to the applicable store's terms. Except where law requires otherwise, purchases are final and non-refundable; refund requests for web purchases are handled by Paddle in line with its terms. When a problem is ours, we restore credits as set out in our Refund & Cancellation Policy. We may correct credit balances that result from fraud, chargebacks, duplication, technical errors, or refunded purchases.
6. Your content
You retain ownership of content you submit or transmit. You grant UniHear a worldwide, non-exclusive, limited license to host, transmit, reproduce, translate, transcribe, summarize, and otherwise process that content only as needed to provide, secure, and improve the Services and comply with law. You represent that your content and our permitted processing do not violate another person's rights.
7. Acceptable use
You may not use the Services to:
- break the law, facilitate harm, or violate another person's privacy or intellectual-property rights;
- transmit malware, interfere with the Services, bypass access controls, or probe for vulnerabilities;
- misrepresent AI-generated output as a certified or human translation;
- reverse engineer the Services except where the law expressly permits it;
- resell or provide unauthorized access to accounts, credits, event rooms, or content; or
- use automated means to overload, scrape, or extract data from the Services without permission.
8. Third-party services
The Services depend on third-party platforms for authentication, AI processing, live communications, payments and tax handling by our merchant of record, app distribution, email, hosting, and infrastructure. Your use of some features may also be subject to third-party terms. We are not responsible for third-party services outside our control.
9. Intellectual property
UniHear and its licensors own the Services, software, branding, designs, and related materials, excluding your content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.
10. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or harm, fail to pay amounts due, or if continued operation is unlawful or impractical. Where reasonable, we will provide notice and an opportunity to resolve the issue. Provisions that by their nature should survive termination will survive.
11. Service changes and availability
We may modify, limit, or discontinue features. Internet connections, device settings, venue Wi-Fi, background-audio restrictions, third-party outages, capacity limits, and AI-service quotas can affect performance. We do not promise uninterrupted or error-free operation.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." UniHear disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, UniHear and its affiliates, officers, employees, agents, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption.
To the fullest extent permitted by law, UniHear's total liability arising from the Services or these Terms will not exceed the greater of 100 US dollars or the amount you paid UniHear during the 12 months before the event giving rise to the claim. These limitations do not apply where applicable law prohibits them.
14. Indemnity
If you use the Services for commercial or organizational purposes, you will indemnify and hold harmless UniHear and its affiliates, officers, employees, and agents from third-party claims, losses, and reasonable costs arising from your content, events, violation of these Terms, or violation of another person's rights, except to the extent caused by UniHear's own misconduct.
15. Governing law and disputes
These Terms are governed by United States law and the law of the state in which UniHear LLC is organized, without regard to conflict-of-law principles. Before filing a formal claim, you and UniHear agree to try to resolve the dispute informally for 30 days after written notice. Nothing in these Terms limits consumer rights or access to courts that cannot lawfully be limited.
16. General terms
These Terms and the Privacy Policy are the entire agreement regarding the Services. If one provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, reorganization, or sale of assets.
17. Changes and contact
We may update these Terms by posting a revised version and updating the date above. If a change materially affects your rights, we will provide additional notice where required. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.
Questions about these Terms may be sent to UniHear LLC at support@unihear.app.
